1. Acceptance of Terms

By clicking "I agree," creating an account, or using the Connectzly platform in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and all terms, conditions, and policies referenced herein. We may update these Terms at any time, and your continued use of the Service constitutes acceptance of any changes.

2. Description of Service

Connectzly is an AI-powered Software-as-a-Service (SaaS) platform designed to automate and optimize LinkedIn outreach campaigns. Our Service includes:

• AI-powered message personalization and generation
• Automated LinkedIn connection requests and outreach
• Campaign management and analytics dashboards
• Sequence automation and follow-up scheduling
• Lead targeting and list management tools
• Integration with LinkedIn and other business platforms

Connectzly uses artificial intelligence to enhance outreach effectiveness while maintaining compliance with platform policies.

3. User Accounts and Registration

3.1 Account Creation

To use Connectzly, you must create an account by providing accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and password.

3.2 Account Responsibility

You are solely responsible for all activities that occur under your account, including unauthorized access. You must notify us immediately of any unauthorized use of your account by contacting support@connectzly.com.

3.3 Age Requirement

You must be at least 18 years old and have the legal capacity to enter into binding agreements to use Connectzly.

4. Acceptable Use Policy

You agree to use Connectzly only for lawful purposes and in a way that does not infringe upon the rights of others or restrict their use and enjoyment of the platform. Prohibited conduct includes:

• Spam and Harassment: Sending unsolicited messages, spam, or harassing communications to LinkedIn users. All outreach must comply with LinkedIn's Professional Community Standards.
• LinkedIn Compliance: Strictly adhering to LinkedIn's Terms of Service and User Agreement. Any violation of LinkedIn's policies may result in account suspension on both platforms.
• Deceptive Practices: Using false information, impersonation, or misleading tactics in connection requests or messages.
• Automation Abuse: Attempting to circumvent LinkedIn's detection systems or using methods that violate LinkedIn's automation policies.
• Data Misuse: Selling, sharing, or misusing personal data obtained through the platform in violation of applicable laws.
• Platform Integrity: Attempting to hack, reverse engineer, or gain unauthorized access to Connectzly systems.
• Illegal Activities: Using the Service for any illegal purpose or in violation of any applicable laws or regulations.
• Trademark Violation: Misusing LinkedIn trademarks or other third-party intellectual property.

Violation of this policy may result in immediate account suspension or termination without refund.

5. Subscription, Billing, and Payment

5.1 Subscription Plans

Connectzly offers tiered subscription plans with varying features and usage limits. You select your desired plan during registration.

5.2 Billing Cycle

Your subscription will be billed according to the frequency you select (monthly, quarterly, or annual). Billing occurs at the start of each billing period or upon confirmation of subscription.

5.3 Payment Methods

We accept all major credit cards and other payment methods displayed during checkout. You authorize us to charge your selected payment method for all fees and charges due.

5.4 Renewal and Auto-Renewal

Your subscription automatically renews at the end of each billing period unless you cancel before the renewal date. You can manage your subscription and cancellation through your account settings.

5.5 Refund Policy

Connectzly operates on a no-refund policy for active subscription periods. If you believe you were charged in error, contact us at support@connectzly.com within 30 days of the charge.

5.6 Price Changes

We reserve the right to change pricing for subscription plans. We will notify you at least 30 days in advance of price increases. Your continued use after the notification constitutes acceptance of the new pricing.

6. Intellectual Property Rights

6.1 Connectzly IP

All content, features, and functionality of the Connectzly platform—including but not limited to software, code, design, graphics, text, and AI models—are the exclusive property of Connectzly or its content providers and are protected by international copyright and intellectual property laws.

6.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use Connectzly solely for your personal or business use in accordance with these Terms. You may not reproduce, distribute, modify, or create derivative works based on the platform without our explicit written consent.

6.3 User-Generated Content

You retain ownership of any content you create or upload through Connectzly. By using our platform, you grant Connectzly a worldwide, royalty-free license to use, copy, modify, and distribute your content solely for the purpose of operating and improving the Service.

6.4 Third-Party Content

Connectzly may contain content licensed from third parties, including LinkedIn. Your use of such content is subject to the terms and conditions of those third parties.

7. Limitation of Liability

To the maximum extent permitted by law, in no event shall Connectzly, its officers, directors, employees, or agents be liable for:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Damages resulting from unauthorized access or data breaches (except where we are grossly negligent)
• Third-party claims or actions arising from your use of the Service

Our total liability for any claim arising out of or relating to these Terms or the Service shall not exceed the total fees paid by you in the 12 months preceding the claim.

8. Disclaimer of Warranties

Connectzly is provided on an "AS-IS" and "AS-AVAILABLE" basis. We make no warranties, express or implied, regarding:

• The accuracy, reliability, or completeness of the Service
• The uninterrupted or error-free operation of the platform
• That the Service will meet your specific requirements
• That the Service is free from viruses or harmful components

To the maximum extent permitted by law, we disclaim all other warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

9. Termination

9.1 Termination by User

You may cancel your Connectzly subscription at any time through the Stripe billing portal, where you will be asked to confirm a reason for cancelling. A link to the portal is included in the invoice emails you receive from Connectzly, and can be requested at any time by emailing support@connectzly.com. You may also cancel by emailing support@connectzly.com directly. Cancellation takes effect at the end of your current paid billing period, and you retain access until that date.

9.2 Termination by Connectzly

We may terminate or suspend your account immediately and without notice if:

• You violate these Terms of Service
• You violate LinkedIn's Terms of Service or policies
• You engage in illegal, fraudulent, or harmful activities
• Your account is used for spam, harassment, or abuse
• You fail to pay subscription fees (after 30-day notice)

9.3 Effect of Termination

Upon termination, your access to Connectzly ceases immediately. We may retain your data in accordance with our Privacy Policy for legal, tax, and compliance purposes. No refunds will be issued for prepaid periods.

10. Governing Law and Jurisdiction

These Terms of Service are governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. The provisions of the Indian Information Technology Act, 2000 and other applicable Indian laws shall apply to your use of Connectzly, including compliance with data protection and cybersecurity requirements.

You agree to submit to the exclusive jurisdiction of the courts located in India for the resolution of any disputes arising from these Terms or your use of the Service.

11. Dispute Resolution and Arbitration

11.1 Informal Resolution

Before initiating formal proceedings, you agree to attempt to resolve any dispute informally by contacting us at support@connectzly.com. We will attempt to resolve the matter within 30 days.

11.2 Binding Arbitration

If informal resolution fails, any dispute shall be resolved through binding arbitration administered by an arbitrator agreed upon by both parties or, in the absence of agreement, appointed by the Indian Arbitration and Conciliation Act, 1996. Arbitration shall take place in India and shall be conducted in English. Each party shall bear its own costs, unless the arbitrator determines otherwise.

11.3 Exceptions

Notwithstanding the above, either party may seek injunctive relief in court for intellectual property infringement or breach of confidentiality.

12. Modifications to Terms

We may modify these Terms at any time. We will notify you of significant changes via email or by prominently posting the updated Terms on the Connectzly platform. The "Last Updated" date at the top of these Terms will reflect the date of the most recent revision. Your continued use of the Service after notification constitutes your acceptance of the modified Terms. If you do not agree to the modifications, you must terminate your account.

13. Force Majeure

Connectzly shall not be liable for any failure or delay in performance of our obligations under these Terms arising from causes beyond our reasonable control, including but not limited to: natural disasters, acts of war or terrorism, government actions, pandemics, internet infrastructure failures, or third-party service disruptions. In such cases, we will use commercially reasonable efforts to resume normal operations as quickly as possible.

14. Entire Agreement

These Terms, together with our Privacy Policy, Acceptable Use Policy, and any other policies or terms referenced herein, constitute the entire agreement between you and Connectzly regarding your use of the Service. These Terms supersede all prior negotiations, agreements, and understandings, whether written or oral. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
